8. GOVERNING LAW, MANDATORY ARBITRATION, AND CLASS ACTION WAIVER

These T&Cs shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You agree that any legal action or proceeding relating to the Site shall be brought exclusively in a state or federal court of competent jurisdiction located in Seal Beach, California.

8.1 Mandatory Binding Arbitration: Except for small claims disputes, any controversy or claim arising out of or relating to your use of the Site or these T&Cs shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Seal Beach, California.

8.2 Waiver of Class Action and Jury Trial: You and LuxMyx agree that any arbitration or proceeding shall be limited to the dispute between LuxMyx and you individually. To the full extent permitted by law, you hereby waive the right to participate as a plaintiff or class member in any purported class action, collective action, or private attorney general action. You also waive the right to a jury trial.

9. TERMINATION AND SUSPENSION

9.1 Right to Terminate: LuxMyx reserves the right, at its sole discretion, to terminate or suspend your access to all or part of the Site and Services for any reason, including, without limitation, a breach of these T&Cs.

9.2 Effect of Termination: Upon termination, your right to use the Site will immediately cease. All provisions of these T&Cs which, by their nature, should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitation of liability) shall remain in full force and effect.
